The following terms apply to these Terms of Use, Privacy Policy, Disclaimer, and any or all agreements in place and herein.

By visiting our website and/or purchasing something from us, you are subscribing to our "Service" and are subject to the following terms and conditions, including these additional terms and policies ("Terms of Service", "Terms"). Referenced here or available via hyperlink. These Terms of Use apply to all users of the Website, including without limitation users who are browsers, vendors, customers, merchants, and/or content contributors. Please read these Terms of Use carefully before accessing or using our website. By accessing or using any part of the website, you agree to be bound by these Terms of Use. If you do not agree to all of the terms of this agreement, do not access the site or use the services. If these Terms of Use are considered an offer, acceptance is expressly limited to these Terms of Use.

This website is operated by Piconbello OU. Throughout the site, the terms “we”, “us”, and “our” refer to Piconbello OU. Piconbello OU offers this website, including all information, tools and services available on this website, to you, conditioned on your acceptance of all terms, policies, and notices set forth herein.

Any new features or tools added to the current site are also subject to the Terms of Service. You can review the most current version of the Terms of Use at any time on this page. We reserve the right to update, change or replace any part of these Terms of Use by posting updates and/or changes on our website. It is your responsibility to check this page regularly for changes. Your continued use of or access to the Website following the posting of any changes constitutes your acceptance of those changes.

"Agent", "You", "Your", and "Customer" refer to the visitor of this website who agrees to the Terms of Engagement Services. "Piconbello", "Validator", "Validation Service", "Staking Service", "Service", "Baker", "We", and "Us" refer to delegated services. Any use of the above terms or the singular, plural, capitalisation, and/or any other word forms shall be considered interchangeable and refer to the same entity. When an individual accesses the website and begins using any features of the website or any other Piconbello service, the individual accepts and agrees to be bound by these Terms of Use.

General conditions

We reserve the right to refuse service for any reason at any time.

You understand that Your Content (other than credit card information) may be transmitted unencrypted, including (a) transmission over various networks; (b) modifications to comply with and adapt to technical requirements of interconnected networks or devices. Credit card information is always encrypted when transmitted over networks.

You may not, without express written permission from us, access, sell, resell, or otherwise use any part of the Service, the use of the Service, or any contact on the Service or the website on which the Service is provided. You agree not to reproduce or copy any exploit.

The headings used in this Agreement are for convenience only and shall not limit or affect these Terms.

Disclaimer — exclusions and limitations

The information on this website is provided "as is". To the extent permitted by law, this delegated service makes all representations regarding this website and its content, or anything provided or made available by affiliates or other third parties, including inaccuracies or omissions in the documentation of this website and/or commissioned services, and disclaims warranties.

In addition, we are not responsible for any damage caused by or in connection with the use of this website. This includes but is not limited to: direct loss, loss of business or profits (whether such loss of profits was foreseeable or would occur in the ordinary course of business, or whether the Service is responsible for the possibility of such potential loss), and damages to your computer, computer software, systems, programs, and their data, or any other direct or indirect consequential and incidental damages.

At the time of writing, the Platform has specific functionality and utility. However, the Platform may undergo significant changes over time, including but not limited to: terms and conditions, fees, structure, purpose, consensus protocol, algorithm, source codes, infrastructure design, and other technical specifications and parameters, which may be updated and changed frequently without notice.

Regulatory compliance

You, as a client, must warrant and represent that your Service usage will stay compliant with all applicable regulations and laws. You are completely responsible for understanding whether the Service is suitable for you in respect of such data privacy laws and regulations as GLBA, GDPR, similar or any other applicable laws. If you use our Service and you are subject to such laws or regulations, then Piconbello is not liable if the Platform doesn't meet those required criteria. You take complete responsibility for any other laws and regulations in your jurisdiction, whether they restrict or allow you to use such services as Piconbello. Piconbello is not liable for any of your actions that violate the laws in your jurisdiction through the usage of the Service.

Services

Piconbello offers Staking Services, acting as node operator or Validator on various Proof-of-Stake (PoS) blockchain networks, which allow holders of applicable tokens to become Delegators. When delegating, Delegators stake the Tokens and delegate the voting powers attributable to such staked tokens to Piconbello acting as Validator. This allows Piconbello to participate in the governance of different PoS blockchains.

All decisions made by Piconbello related to the PoS blockchains are exempt from any disputes from the delegators.

We may provide you with access to third-party tools over which we do not monitor, control, or influence.

You acknowledge and agree that we provide access to the tools "as is" and "as available" without warranties, representations, conditions, or endorsements of any kind. We do not assume any liability arising out of or related to your use of optional third-party tools.

Your use of the optional tools offered through the Website is entirely at your own risk and discretion, and you are required to familiarise yourself with and agree to the terms and conditions on which the relevant third party or its provider provides the tools.

We may also offer new services and features through the website in the future (including the release of new tools and resources). These new Terms of Service also apply to these new features and/or services.

Rewards

In accordance with the terms of the applicable blockchain network, Delegators and the Validator may be entitled to staking rewards payable to them directly by the Network.

Non-custody

The Delegator may, at its sole discretion, delegate to Piconbello a certain amount of certain tokens, with Piconbello acting as Validator in connection therewith. Such delegation shall not involve the transfer of any tokens from the Delegator to Piconbello or vice versa, and any delegated tokens shall always remain the Delegator’s property and control. The Delegator can unstake its tokens from Piconbello's delegation service at any time. Each PoS network has its own rules regarding the unbonding or lock-up period, which means that the tokens may not be unstaked immediately. Piconbello, as a Validator, has no control over this period, implying that any financial risk from price would be borne by the Delegator. The Delegator acknowledges that they remain in full control of their keys and seed phrases, and should be the sole party responsible for the security of their own digital assets. As a non-custodial service, Piconbello does not have any control over the tokens of the Delegators and will not be able to recover these tokens in case of theft or loss.

Governance

As a validator, Piconbello participates in protocol-level governance decisions and utilises its delegated voting rights to express its stance on forthcoming network upgrades, subsidies, and other determinations. When a customer delegates a token to one of our nodes to receive staking rewards, the associated voting rights are transferred to us without obligation and may be exercised at our sole discretion. Delegators can continue to voice their opinions and engage in community discussions regarding governance proposals. Depending on the network, the delegator has the option to override Piconbello's governing vote and vote independently. All delegators are encouraged to vote for themselves whenever possible. Piconbello cannot be held legally liable for decentralised governance voting and decisions at the protocol level.

Log files

We use website usage data, including anonymised IP addresses, to analyse trends, administer our website, track user behaviour, and provide broad demographic information for aggregate usage. If you choose to use products developed by Piconbello, your email address and public wallet address may be collected. In addition, for system administration, usage pattern detection, and troubleshooting purposes, our web servers store standard access data such as browser type, access times, emails opened, URLs requested, and referring URLs. This information will not be shared with third parties and will only be used on a need-to-know basis within this delegated service. Any personally identifiable information associated with this data will not be used beyond the above without your explicit consent.

Ownership and intellectual property

Piconbello owns all proprietary rights in the Service, which include the domain and all of its subdomains, marketing materials such as logos, colour schemes, and design, and also, but not limited to, copyrights, trademarks, trade secrets, service marks, development practices, proprietary software, and other intellectual property rights. You as a Client are obligated to respect all intellectual property of Piconbello mentioned above, which is protected by law.

Use license

You shall not engage in any unlawful actions against Piconbello that may impose a significant burden on our infrastructure or interfere with the normal operation of the Service. You may not attempt to bypass or circumvent any security mechanisms, gain unauthorised access to any of our computer systems, engage in any activities that may disrupt the operation of the Service, or run malicious code such as worms, trojans, cryptojacking software, and other types of viruses against the Service. It is also prohibited to use the Service to launch any software ("crawlers", "spiders", "auto-responders") or devices that automatically or manually collect data from the Website, or to spam on the Service. If an individual violates the "Use License", it is automatically revoked.

Client rights and obligations

You agree to indemnify, defend, and hold harmless Piconbello and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

You, as a Client of the Service, must pay all applicable taxes associated with staking payouts, which may be subject to official taxation in various jurisdictions. Piconbello is not liable for any Client taxes imposed by various legal systems. If you want to start the withdrawal process, you must first wait until the unbonding or lock-up period, the length of which is determined by the blockchain network. You won't be able to withdraw your staked cryptocurrency until the unbonding or lock-up period is over.

Experimental technologies

Piconbello provides Proof-of-Stake blockchain validation services and infrastructure to a wide range of blockchain networks. Blockchains, as well as consensus algorithms such as Proof-of-Stake, are experimental technologies. Cryptocurrencies and blockchain networks are extremely risky to both invest in and interact with. Each network's technology and mechanics pose significant risks. You, as a Client, acknowledge that Piconbello is not liable in the event of a blockchain protocol failure, bugs, hacks, or other failure. Piconbello does not offer investment, financial, legal, regulatory, accounting, tax, or any other type of advice. Piconbello is a blockchain infrastructure provider that works with a variety of blockchain networks. You should always conduct your own due diligence before purchasing cryptocurrencies, interacting with blockchain network services, or using our Service. You acknowledge that Piconbello is not a member of the blockchain protocol development teams, and thus does not participate in the development of network code and mechanics.

The various source codes used in the Platform (when developed) are subject to change and may, at any time, contain one or more defects, weaknesses, inconsistencies, errors, or bugs.

Notification of changes

You must review the most current version of the Terms of Service at any time at this page.

If there are any changes to our privacy policy, we will announce that these changes have been made on our home page and on other key pages on our site. You are therefore advised to re-read this statement on a regular basis.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

Termination

For all purposes, the parties' obligations and liabilities incurred prior to the termination date will survive the termination of this agreement.

These Terms of Service are in effect until either you or we terminate them. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services or by discontinuing use of our website.

If you fail, or we suspect you have failed, to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination, and we may deny you access to the Service.

Entire agreement

The failure to exercise or enforce any right or provision of this agreement shall not be deemed to waive any right or provision of these Terms of Service.

These Terms of Service, as well as any policies or operating rules posted by us on this site or in relation to the Service, represent the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be held against the party who drafted them.

Governing law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Estonia.
